These Terms of Service (“Terms”) govern your access to and use of our website and any purchase made from danade.com. By visiting our site, creating an account, or placing an order, you agree to be bound by these Terms. If you do not agree, please do not use our site.

References to “we”, “us”, or “our” mean COZYSEED LLC. References to “you” or “your” mean the individual customer or website visitor.
2. ELIGIBILITY & USE OF THE WEBSITE
Age. You must be at least 18 years old or have legal capacity in your country to purchase online.
Authority. If you are buying on behalf of a business, you confirm that you have authority to bind that business.
Prohibited Acts. You agree not to:
- Use the site for any unlawful or fraudulent purpose;
- Attempt to gain unauthorized access to our systems or data;
- Interfere with or disrupt the normal operation of the website.
We may suspend or terminate your access if we reasonably believe you have violated these Terms or applicable law.
3. PRODUCTS, INFORMATION & ORDERS
Accuracy. We strive to ensure that product descriptions, images, and specifications are accurate. However, because many products are hand-assembled, minor variations in color, finish, or packaging may occur.
Availability. All offers are subject to availability. We may change or discontinue products at any time without prior notice.
Contract Formation. By placing an order, you make an offer to purchase. A binding contract of sale is formed only when we send you an order confirmation email.
Order Cancellation by Us. We reserve the right to refuse or cancel any order, for example in cases of:
- Suspected fraud or abuse;
- Incorrect pricing or product information;
- Operational errors.
If we cancel an order after payment has been taken, we will refund you in full.
4. PRICES, TAXES, VAT & PAYMENT
Currency, VAT & Local Taxes. Prices are displayed in your local currency where possible. For customers in the European Union, the United Kingdom and other countries with VAT/GST, prices may be shown as VAT-inclusive or VAT-exclusive depending on your location and the rules that apply; in all cases, the final amount of VAT/GST and any other mandatory charges will be displayed at checkout before you place your order.
For many EU and international shipments, we currently act as a non-EU exporter and are not VAT registered in the European Union. In those cases, your order may be treated as an import in your country and you will be responsible for any import VAT/GST, customs duties and handling fees charged by local authorities or carriers, unless we explicitly state at checkout that such amounts are collected by us.
Where we participate in special VAT schemes (such as the EU Import One Stop Shop “IOSS”) for eligible low-value consignments, we may collect the applicable VAT at checkout and remit it directly to the relevant tax authorities. When this applies, we will indicate it at checkout. Currently, we are in the process of obtaining an IOSS registration number; until it is issued and displayed here or on your invoice, standard import rules apply (the recipient is responsible for import VAT/duties upon delivery).
Price Changes. We may change prices at any time, but such changes will not affect orders that have already been confirmed.
Payment Processing. Payments are processed securely via third-party payment providers such as Shopify Payments, Stripe, PayPal or similar services. We do not store your full card details on our own servers.
Your Responsibility. You are responsible for providing accurate, current billing and payment information and for any charges incurred under your account.
5. SHIPPING & DELIVERY
Unless otherwise stated on the product page or at checkout, products are shipped from Vietnam using trusted logistics partners.
Estimated Delivery Times (business days):
- Vietnam: 2–5 business days
- USA: 5–12 business days
- Europe & Rest of World: 10–25 business days
These timeframes are estimates only and are not guaranteed. Delays can occur due to carrier issues, customs processing, public holidays, or events beyond our reasonable control.
Risk of Loss or Damage.
- For customers outside the European Union and United Kingdom, the risk of loss or damage to products passes to you once the carrier takes possession of the package.
- For EU and UK consumers, the risk of loss or damage passes to you only when the products are delivered to you or to a person you designate to receive them, unless you have chosen your own carrier that is not offered by us.
Import Duties & Taxes. For international shipments (outside Vietnam), you are responsible for all customs duties, import taxes, VAT/GST, and handling fees charged by local authorities or carriers when the goods enter your country. These amounts are not included in our product prices or standard shipping fees unless expressly stated at checkout. These charges are set by your local authorities, are outside of our control, and are not collected or retained by us. If you refuse to pay such charges and the shipment is returned or destroyed in accordance with local rules, we may deduct any related costs from any refund that may be due, where applicable.
Force Majeure. We are not liable for delays or failure to perform caused by events beyond our reasonable control, including but not limited to natural disasters, strikes, wars, pandemics, government actions, or customs delays.
6. 90-DAY MONEY-BACK GUARANTEE, RETURNS & EU WITHDRAWAL RIGHTS
The Guarantee. You may return any product purchased directly from us within 90 days of delivery for a full refund, for any reason (including change of mind).
Condition of Returned Products. Products should be returned in reasonable condition, with all major components and accessories included. We may reduce the refund to reflect any loss in value resulting from handling beyond what is necessary to establish the nature, characteristics and functioning of the goods, as permitted under applicable law.
EU/EEA & UK Consumers – Statutory Right of Withdrawal.
- If you are a consumer habitually resident in the European Union, the European Economic Area or the United Kingdom, you have a statutory right to withdraw from an online purchase within 14 days, without giving any reason, in addition to our 90-day money-back guarantee.
- The withdrawal period expires 14 days after the day on which you, or a third party other than the carrier and indicated by you, physically receive the goods (or, in the case of multiple items or partial deliveries, the last item or batch).
- To exercise your statutory right of withdrawal, you must inform us of your decision to withdraw from the contract before the withdrawal period has expired. You can do this, for example, by sending an email to care@danade.com or by using the model withdrawal form available at https://danade.com/pages/withdrawal-form (optional – any clear statement is sufficient).
- You must send back the goods to us without undue delay and in any event no later than 14 days from the day on which you communicated your decision to withdraw. You will bear the direct cost of returning the goods, unless we have agreed otherwise.
- We will reimburse all payments received from you for the goods, including the cost of standard delivery (but not any additional costs resulting from your choice of a type of delivery other than the least expensive standard delivery we offer), without undue delay and in any event no later than 14 days from the day on which we are informed of your decision to withdraw. We may withhold reimbursement until we have received the goods back or you have supplied evidence of having sent back the goods, whichever is the earliest.
Return Shipping Costs.
- If the product is defective or we sent the wrong item, we will cover reasonable return shipping costs or provide a prepaid return label where available.
- For change-of-mind or non-defective returns, you are responsible for return shipping costs.
Refunds.
- Refunds will be processed to the original payment method wherever possible.
- We aim to process refunds within 7 business days of receiving and inspecting the returned item.
- Additional time may be required for the funds to appear in your account depending on your bank or payment provider.

7. WARRANTY
Coverage. All DANADE™ products are covered by a 2-year limited warranty from the date of delivery against manufacturing defects in materials and workmanship.
Exclusions. This warranty does not cover:
- Normal wear and tear;
- Damage resulting from misuse, abuse, accidents, neglect, improper assembly or maintenance;
- Modifications or alterations to the product;
- Use that does not comply with our safety instructions, user manuals, age and weight limits.
Remedies. Where permitted by law, our liability under this warranty is limited to repair, replacement, or refund of the defective product, at our discretion.
Nothing in this warranty affects any statutory rights you may have as a consumer under applicable law.
8. SAFETY & PROPER USE (IMPORTANT)
Our products, including but not limited to SkySeat™ and other child-related items, must be used responsibly and in accordance with all safety instructions.
- ALWAYS read and follow the user manual, age and weight limits, fitting instructions, and safety warnings that accompany the product.
- Never leave a child unattended while using our products. Regularly check that all buckles, straps and fastenings are correctly secured and in good condition.
- You are responsible for assessing whether the product is suitable for your child, considering their age, size, health and the environment in which the product is used.
- You should always follow any local safety regulations or guidelines applicable to child carriers or similar products in your country.
- We are not liable for injuries, damages or losses arising solely from incorrect use, modification, lack of supervision, or disregard of safety guidance, except where such exclusion or limitation is not permitted by law.
Medical Disclaimer. The products and information provided on this website are not intended to diagnose, treat, cure, or prevent any medical condition or disease. Our products are not medical devices. Always consult with a qualified healthcare professional regarding your child’s health, development, and physical suitability before using our products.
9. INTELLECTUAL PROPERTY
DANADE™, the DANADE logo, product names, designs, images, text, graphics, and all other content on our website are owned by COZYSEED LLC or used under license.
You may not copy, reproduce, distribute, modify, adapt, create derivative works from, or otherwise use our content for commercial purposes without our prior written consent, except as permitted by law for personal, non-commercial use.
10. USER CONTENT
You may have the opportunity to submit reviews, comments, photos, videos or other content (“User Content”) on our website or on social media platforms (for example by tagging our brand or using our hashtags).
By submitting User Content, you:
- Grant COZYSEED LLC a non-exclusive, worldwide, royalty-free, perpetual and transferable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such content in any media, for purposes including marketing and advertising;
- Confirm that you own or control all rights in your User Content and that it does not infringe any third-party rights or violate any law;
- Permit us to edit, crop or otherwise modify your User Content for formatting or presentation, without changing its overall meaning.
We may remove or refuse to display any User Content at our discretion.
11. THIRD-PARTY SERVICES
Our website may include links to, or integrations with, third-party websites and services (such as Shopify, payment gateways, analytics tools, social media platforms, or shipping providers).
We do not control and are not responsible for:
- The content, policies or practices of these third parties;
- Any damages or losses arising from your use of third-party services.
Your use of such services is subject to their own terms and privacy policies, which we encourage you to review.
12. PRIVACY & COOKIES
Your use of the website is also governed by our:

These documents explain how we collect, use, and protect your personal data, and how we use cookies and similar technologies. Please review them carefully as they form part of these Terms.
13. LIMITATION OF LIABILITY
To the fullest extent permitted by applicable law:
- Our total liability to you for any claim arising out of or relating to these Terms, your use of the website, or any purchase made on danade.com is limited to the amount you actually paid for the product(s) giving rise to the claim.
- We are not liable for any indirect, incidental, special, punitive, or consequential damages, including but not limited to loss of profits, revenue, data, goodwill, or business opportunities.
Nothing in these Terms excludes or limits liability for:
- Death or personal injury caused by our negligence;
- Fraud or fraudulent misrepresentation;
- Any other liability that cannot be excluded or limited under applicable law.
Nothing in these Terms affects any rights you may have as a consumer under mandatory law in your country of residence.
14. INDEMNITY
To the extent permitted by law, you agree to indemnify and hold harmless COZYSEED LLC, its officers, employees, and agents from and against any claims, losses, liabilities, damages, costs and expenses (including reasonable legal fees) arising out of or related to:
- Your breach of these Terms;
- Your violation of any law or the rights of a third party;
- Your misuse of the website or our products.
15. GOVERNING LAW & DISPUTE RESOLUTION
15.1 U.S. Customers – Agreement to Arbitrate and Class Action Waiver
If you are located in the United States, you and COZYSEED LLC agree that any dispute, claim or controversy arising out of or relating to these Terms, your use of the website, or any purchase made on danade.com (collectively, “Disputes”) will be resolved by binding individual arbitration, except that either party may bring a claim in small-claims court where permitted by law.
By agreeing to these Terms, you understand and agree that:
- You are waiving your right to a trial by jury; and
- You are waiving your right to participate in a class, collective, consolidated or representative action.
The arbitration will be administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, as modified by these Terms. The AAA Rules are available at www.adr.org. Arbitration may be conducted remotely (for example, by video conference) where permitted by the rules of the arbitration provider.
You and we agree that any arbitration or court proceeding will be conducted only on an individual basis and not in a class, collective, consolidated or representative action. The arbitrator may award relief only in favour of the individual party seeking relief and only to the extent necessary to provide relief warranted by that party’s individual claim.
15.2 International / EU Customers – Governing Law and Courts
For customers located outside the United States, these Terms are governed by the laws of the State of Colorado, USA, without prejudice to any mandatory consumer protection laws of the country in which you reside. Nothing in these Terms limits your rights under such mandatory laws, and if you are a consumer habitually resident in the EU, the UK or another country with mandatory consumer laws, you may bring legal proceedings relating to these Terms in the courts of your country of residence.
Informal Resolution (IMPORTANT): If a dispute arises, you agree to contact us first in writing at care@danade.com. This ensures that both parties have a clear record of the issue and allows us to attempt to resolve it informally before any legal action is taken.

16. SEVERABILITY
If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision will be enforced to the fullest extent permitted by law, and the unenforceable portion will be deemed severed from these Terms. Such a finding will not affect the validity and enforceability of any remaining provisions.
17. CHANGES TO THESE TERMS
We may update or modify these Terms from time to time, for example to reflect changes in our products, operations or applicable laws. When we make changes, we will update the “Last Updated” date at the top of this page. The revised Terms will apply to any new orders placed after the effective date.
Your continued use of the website after changes have been posted constitutes your acceptance of the updated Terms.
For material changes that may disadvantage consumers resident in the European Union, the European Economic Area or the United Kingdom, we will obtain your explicit consent or give you the right to terminate any ongoing contract without penalty.

19. LANGUAGE AND TRANSLATIONS
These Terms of Service may be provided in multiple languages for your convenience. In the event of any inconsistency between a translated version and the English version, the English version shall prevail, except where local law in your country of residence requires otherwise.
20. MOBILE MESSAGE SERVICE TERMS
By consenting to DANADE™’s SMS/text messaging service, you agree to receive recurring automated marketing and informational text (e.g., cart reminders) from us at the cell number used when signing up. Consent is not a condition of any purchase. Message & data rates may apply.
Cancellation:
You can unsubscribe at any time by texting “STOP” to the number from which you received the messages. After you send the SMS message “STOP” to us, we will send you an SMS message to confirm that you have been unsubscribed. After this, you will no longer receive SMS messages from us.
